Exhibitor Agreement

This event agreement between Wonder dba Homeschool Days (“HSD”) and the Exhibitor outlines the scope of commitments and obligations between HSD and the Sponsor for HSD events (the “Event”).

Wonder Event Rules and Guidelines

  1. Wonder Event Rules and Guidelines
  • Non-Registered Exhibitors – Solicitation at any function or event of Wonder, including but not limited to the Wonder Exhibition Hall area, by non-registered persons or companies is strictly prohibited.
  • Cancellation of Exhibition – In the event that the Wonder exhibition must be canceled, postponed, or relocated on account of fire, strike, government regulations, acts of God, or other causes beyond the control of Wonder, the exhibitor waives any and all damages and claim for damages, and agrees that Wonder will credit the exhibitors account and can be used for the next scheduled event of the same kind, and alternative event or an advertising package. 
  • Early Removal of Exhibits – No exhibit shall be packed, removed, or dismantled prior to the closing of the event without permission of the event coordinator.
  • Liability and Security – Wonder will not insure or indemnify exhibitors against theft or loss of any kind. This is an open-booth event and the primary responsibility for safeguarding the exhibit and merchandise is the exhibitors. 
  • Animals – Live animals are prohibited in the exhibit spaces without prior written permission from the event coordinator. 
  • Booth Setup and Layout – Exhibitors may not extend their exhibits outside the designated booth area, nor share purchased booth space with another company or organization (including displaying or distributing any materials for another organization without written permission from the event coordinator. Each exhibitor must provide their own covered/skirted 6 ft. (or shorter) rectangular table and signage (signage not required). Each Exhibitor is proved 2 chairs.  Booth location placement will be given upon arrival. 
  • Booth Representation- Exhibitors are required to man booth(s) throughout the Exhibit Hall open hours. Early tear-down is strictly prohibited. Representatives are required to conduct themselves in a professional manner at all times and refrain from conduct or language that would discredit Wonder, Wonder events, or home education. Exhibitors are required to dress neatly, modestly, professionally, and cleanly. Booth Representatives must refrain from recruiting patrons for future multi-level marketing purposes during the event. Exhibitors are required to attend the Exhibitor Meeting.
  • Booth Activity – Exhibitor tables are open to group leaders, program leaders, or service providers who offer services to the homeschool community for no cost per booth if they are members of the homeschooling community ($25 for those not homeschoolers, but provide services to homeschoolers). Space is limited. Exhibitors may sell handmade and store bought goods , games, and services.
  • Audio – Exhibitors are required to refrain from having any music or audiovisual sound which is audible more than eight (8) feet from the vendor’s booth.
  • Other – Exhibitors are required to refrain from holding workshops or similar functions in the same location during the event hours. 
  • Youth Marketplace Rules and Guidelines
    • All Youth Exhibitors must apply for a Youth Marketplace booth
    • Youth Exhibitors must be ages 7 – 18 and currently homeschooling
    • Youth Exhibitors may sell handmade and store bought goods , games, and services
    • No food or animals may be sold
    • Items must be reasonably priced
    • Children may not sell goods on behalf of their parents
    • All Youth Exhibitors are required to attend the Exhibitor Meeting at 9:00 AM
    • Booth must be open and ready for purchases by 9:45 AM
    • Youth Exhibitors must not begin tear down until 1:00 PM
    • Parent or legal guardian must be present at the event
    • All Youth Exhibitors will be required to pay for damages to public property in which they are at fault and must treat the facility with respect and care
  1. Event Promotion
  • Free Event Exhibitors and all Youth Marketplace Exhibitors are required to promote the event to their network through applicable channels, such as printed flyers, email and/or social media. 
  • Interested attendees should be directed to visit the Facebook event page or the official event page listed on the official event flyer.
  • Wonder will provide sample content and materials to Exhibitors. 
  1. Exhibitor Trademarks and Materials

Subject to the terms and conditions of this Agreement, the Exhibitor grants Wonder the right to use the Exhibitor’s trade names, logo designs, trademarks, and company descriptions as provided in Exhibitor marketing materials. These assets may be used in any medium of advertising, promotional products, or marketing materials distributed solely in connection with the Event. 

  1. Indemnity

4.1 The Exhibitor will indemnify, defend, and hold Wonder harmless from and against any claims relating directly or indirectly to, or arising out of, content posted on the Exhibitor’s respective website, use of Exhibitor materials, or use of Exhibitor’s logos and trademarks.

4.2 Wonder will not be responsible for damage to or loss of property belonging to the Exhibitor, its employees, contractors, or agents or for personal injury to the Exhibitor’s employees, contractors, agents, directors, or invitees except to the extent that claims may be solely and directly attributed to willful misconduct or gross negligence of Wonder and Wonder’s employers, directors, or officers.

4.3 Exhibitor will give Wonder prompt written notice of any suit or claim that comes within the purview of these indemnities.

  1. Limitation of Liability

In no event shall either party be liable to the other party for any consequential, incidental, indirect, or punitive damages regardless of whether such liability results from breach of contract, breach of warranties, tort, strict liability, or otherwise.

Each party hereby represents and warrants that it has the full power to enter into and perform according to the terms of this Agreement

  1. Term and Termination

7.1 This Agreement will be valid for the period starting from the time the Event Exhibitor Application is completed and payment is submitted online until the end of the Event.

7.2 Wonder may terminate this Agreement at any time for any reason. In the event that Wonder terminates this Agreement for any reason other than Exhibitor’s breach of Agreement, Wonder shall refund any fees received from the Exhibitor and return any materials, equipment, hardware, or software loaned by the Exhibitor at the end of the Event, at the Exhibitor’s expense.

7.3 The Exhibitor may terminate this Agreement for breach of Agreement by Wonder after giving Wonder at least ten (10) days prior written notice specifying the nature of the breach and giving Wonder at least ten (10) days to resolve such breach. If breach occurs less than ten (10) days before the Event Promotion Period, Exhibitor may terminate this Agreement if breach is not resolved by the start of the Event Promotion Period.

7.4 Except in the event of the termination of this Agreement in accordance with any of the provisions of Sections 7.1 through 7.3 above, no portion of any payments of any kind whatsoever previously provided to Exhibitor hereunder shall be owed or be repayable to Exhibitor.

7.5 In the event of termination or expiration of this Agreement, paragraphs 4, 5, 6, 7 and 8 shall survive.

  1. Disagreement

In the case of a disagreement at any point, the parties will refer the matter to an independent arbitrator appointed by mutual agreement.

  1. Miscellaneous

9.1 This Agreement will supersede any or all prior oral or written forms of understanding between the Exhibitor and Wonder. This Agreement may not be amended or modified except when one or both parties execute amendments in writing and amendments are signed by both parties.

9.2 This Agreement does not constitute and shall not be construed as constituting a partnership, or joint venture relationship between or among the parties.

9.3 Confidentiality. Each party expressly undertakes to retain in confidence all information and know-how transmitted to it by the other party that the disclosing party has designated as proprietary and/or confidential or that, by the nature of the circumstances surrounding the disclosure, ought in good faith to be treated as proprietary and/or confidential, and will make no use of such information and know-how except under the terms, for the purposes of and during the existence of this Agreement. Each party’s obligation under this Agreement with respect to any particular information shall extend to the earlier of such time as such information is publicly available through no fault of the receiving party or five (5) years following termination of the Agreement.

9.4 This Agreement shall be governed by and executed in accordance with the laws of the State of Colorado applicable to agreements made and to be performed entirely within this state.

9.5 The terms and conditions of this Agreement shall not be divulged to any third party without prior written approval from both parties.

In witness whereof, Wonder and Exhibitor hereby agree to enter into this Agreement on the day the Signature Date of the Event Exhibitor Application.

This event agreement between Wonder dba Homeschool Days (“HSD”) and the Speaker outlines the scope of commitments and obligations between HSD and the Speaker for HSD hosted events (the “Event”).

Terms of Agreement

1. HSD Obligations

HSD will give the Speaker contribution for the following benefits:

  • As per HSD’s rules, the Speaker will not be remunerated in monetary terms or cash. However, in consideration of the Speaker providing the services described in Article 2 and strictly complying with the terms of this Agreement, HSD will provide the Speaker with tangible value by way of the following:
  • Platform: HSD will provide the Speaker with a platform at the Event to share their expertise with the attendees.
  • Presentation Training: Through written guides and the efforts of the Producer and volunteers, HSD will endeavor to assist the Speaker to design, develop, and deliver an informative and encouraging presentation.
  • Presentation Livestream – For virtual events, The Event will be livestreamed/webcast to enable the Speaker’s talk to be viewed online, in high-definition, in real time from anywhere in the world with an Internet connection; viewers will not be charged a fee by HSD to view the Speaker’s talk;
  • Post-Event Video Access – For virtual events, The Speaker’s abridged presentation video will be available to attendees at no additional cost on the HSD website and/or similar replay website for 7 days following the event. The Speaker’s unabridged video will be made available to HSD Members indefinitely following the event behind a paywall and member account on homeschooldays.com.
  • Workshop Outline and Presentation templates
  • Editing of the Workshop Presentation Pre-Recording, when applicable.
2. Speaker Obligations

In consideration of HSD providing the items described in Article 1 and approving them as a Confirmed Speaker at the Event, the Speaker will strictly comply with the following understandings, undertakings, representations and warranties:

  • For online events:
    • Complete the Workshop Outline and Workshop Presentation using the event templates according to the schedule listed in the Event Timeline detailed in Exhibit 1.
    • Schedule and Complete the online Pre-Recording Workshop Session according to the schedule listed in the Event Timeline detailed in Exhibit 1.
    • Access to a working computer and high-speed internet access for the Workshop Event and Workshop Pre-Recording
  • For all events:
    • Dedicate sufficient time, energy and focus: The Speaker understands that it takes considerable time, energy and focus to develop, practice, rehearse and deliver a talk that meets HSD’s high standards. The Speaker undertakes to make his/her Conference talk a top priority and dedicate the necessary time, energy and focus required to develop, practice, rehearse and deliver a high-quality talk. Failure to do so, can result in a drop in the quality of the entire Conference.
    • Be a person of good repute: HSD’s reputation is perhaps its most valuable asset. The Speaker warrants that there is nothing in his/her history and background indicating that he or she is controversial, of ill repute, has been criminally convicted or of questionable moral turpitude such that it may cause possible loss or damage to the reputational capital of HSD.
    • Provide a presentation focused on the topic, not with self-promotion or commercial agenda. 
    • Wear Appropriate Clothes & Attire: The Speaker agrees to follow all guidelines that are given by HSD with respect to the clothes and attire that the Speaker wears at the Event and media interviews. These guidelines are intended to enhance the quality of the video(s) and abide by the standards of decency and decorum set by HSD. 
    • Support HSD’s Marketing Efforts – The Speaker understands that marketing the Event is a shared responsibility and undertakes to promote the Event widely through email, text, and social outlets. 

3. Speaker Likeness, Image, Trademarks and Materials

Subject to the terms and conditions of this Agreement, the Speaker grants HSD the right to use the Speaker’s likeness and image, trade names, logo designs, trademarks, and company descriptions as provided in Speaker marketing materials. These assets may be used in any medium of advertising, promotional products, or marketing materials distributed solely in connection with the Event. HSD agrees to use materials according to Speaker’s trademark usage guidelines.

The Speaker agrees to offer the following materials for marketing and promotional purposes:

  • Speaker Headshot
  • Speaker Bio
  • Business Logo
  • Business Name
  • Business State
  • Business Website
  • Business Phone
  • Business Email
  • Short Business Description
HSD can make minor changes to the presentation such as colors, layout, keyword name changes, etc. without notifying Speaker. If the nature of the talk must be changed significantly, HSD agrees to notify the Speaker.

4. Indemnity

4.1 The Speaker will indemnify, defend, and hold HSD harmless from and against any claims relating directly or indirectly to, or arising out of, content posted on the Speaker’s respective website, use of Speaker materials, or use of Speaker’s  logos and trademarks.

4.2 HSD will not be responsible for damage to or loss of property belonging to the Speaker, its employees, contractors, or agents or for personal injury to the Speaker’s employees, contractors, agents, directors, or invitees except to the extent that claims may be solely and directly attributed to willful misconduct or gross negligence of HSD and HSD’s employers, directors, or officers.

4.3 Speaker will give HSD prompt written notice of any suit or claim that comes within the purview of these indemnities.

5. Limitation of Liability

In no event shall either party be liable to the other party for any consequential, incidental, indirect, or punitive damages regardless of whether such liability results from breach of contract, breach of warranties, tort, strict liability, or otherwise.

Sponsor Agreement

Terms of Agreement

2. Sponsor Obligations

The Sponsor agrees to pay the Total Sponsorship Category Cost as detailed on the Sponsorship Details section of the Event Sponsor Form located on the Homeschool Days website at https://homeschooldays.com/fair/sponsor.

  • Sponsor agrees to provide printed business to host for attendee gifts. 

3. Sponsor Trademarks and Materials

Subject to the terms and conditions of this Agreement, the Sponsor grants HSD the right to use the Sponsor’s trade names, logo designs, trademarks, and company descriptions as provided in Sponsor marketing materials. These assets may be used in any medium of advertising, promotional products, or marketing materials distributed solely in connection with the Event. HSD agrees to use materials according to Sponsor’s trademark usage guidelines.

CODE OF CONDUCT

At all HSD events, our goal is to provide a safe and positive experience and we expect our attendees, exhibitors, speakers, vendors, volunteers and sponsors to follow this Code of Conduct. Unacceptable behavior will not be tolerated at any time and may result in immediate removal from the event.

Expected Behavior

  • Be considerate of those with whom you may interact.
  • Be collaborative with others.
  • Be respectful of others’ viewpoints that may differ from your own.
  • Be mindful of your words and actions.

Unacceptable Behavior

  • Offensive or unwanted behavior or language, including, but not limited to, discriminatory behavior or language based on race, religion, color, national origin, age, disability, veteran or marital status, political affiliation or any other similar categories.
  • Intimidating, harassing, abusive, discriminatory, derogatory, or demeaning speech or actions will not be tolerated.
  • Visual harassment, such as displaying sexual or offensive images OR inappropriate language at the session, meeting, or event, including in presentations, within the mobile app, slide decks, as backgrounds, or on clothing visible to attendees.
  • Intimidation or bullying, either online or in-person.
  • Photographing, video- or audio-recording of slides or oral presentation, as well as posting presentations without presenter/author’s permission.
  • Possession of illegal substances during the event.
  • Sharing your event registration information, including your conference badge, with another person(s).Inappropriate disruption of sessions, discussions, or other events.
  • Real or implied threat of physical, professional or financial damage or harm.
  • Violating the rules of the online platform on which the event is held.
  • Any other illegal activity not already covered above.

VIRTUAL ATTENDANCE ACCESS

Each registration is for a single user only. You are not allowed to share your e-mail ID or give your account access to anyone else. HSD does not allow multiple users on the same e-mail ID. HSD may immediately cancel or suspend your access to our event if you share your e-mail ID or give your account access to anyone else.

SOLICITATION

Solicitation cannot take place in the aisles or any other space in the event venue not leased to exhibitors. Sidewalks, parking lots, and surrounding areas of the event venue are property of the event venue, not HSD. Exhibitor staff, uniformed personnel, or any person representing the marketing or the promotion of the exhibiting company are not allowed to utilize this space for solicitation purposes. This includes the distribution of materials without proper authorization being granted in advance.Soliciting is also prohibited in the mobile app or the web format (chat function in sessions, networking rooms and activities).Exhibitors or attendees violating these rules will be removed from the event.

PAYMENTS & REFUNDS

I understand that once the form is submitted, all purchases are final and no refunds will be issued for any reason. In the event you cannot attend the event, your registration fee can be converted into a donation upon request, and we will send you a donation receipt. Tickets and prepaid orders are non-transferable.

CONSENT FOR PHOTOGRAPHERS

By attending the event, you acknowledge that your image may be captured on video or in photos taken on behalf of HSD. You further provide HSD the right to use candid group photos or videos without securing additional permission, provided those images are not accompanied by further personally identifying information. Please note:Photos and/or recordings cannot be copied, altered, sold, exhibited, or further distributed without HSD prior written consent.Photos and/or recordings are the exclusive property of HSD.HSD may post photos and/or recordings on HSD’s  official social media pages during and after the conference.In addition, no disruptions due to photography and/or recording shall be allowed, and violators may lose attendance privileges. This includes drones and personal professional photography equipment and applies to attendees, exhibitors, sponsors, speakers and vendors.You may be asked to participate in interviews, such as testimonial videos, etc. In which case, you will be asked to fill out an additional consent form.

PERSONAL PHOTOGRAPHY AND SOCIAL MEDIA

HSD encourages our attendees, speakers, exhibitors, sponsors, volunteers and vendors to share their experience at HSD events on social media, unless a speaker or performer specifically prohibits sharing of their content. By sharing photos and videos on social media channels, you are consenting that HSD may reshare, repost and use those photos and videos prior, during, and after the event.

MEDIA SHARED BY PRESENTERS

Presenters may share additional media and resources as part of their session or session record. These resources are provided for attendees’ personal use and are not for distribution unless the resource explicitly states that it can be broadly distributed, or written permission is individually granted by the presenter. In either case, proper attribution to the original creator is required.IMPORTANT: Use and reproduction of the conference logo and/or HSD’s  logo to promote non-HSD sanctioned products or services is strictly prohibited.

INFORMATION SHARING/PRIVACY POLICY

We will not, in any circumstances, share your personal information with other individuals or organizations without your permission, including public organizations, corporations or individuals, except to fulfill your requests for services, to protect ourselves from liability, and when applicable by law. WAIVER OF LAWSUIT/ RELEASE OF LIABILITY
I, for myself, my family, successors, and assigns hereby forever release, waive, discharge, and covenant not to sue HSD, its board of directors, board members, officers, agents, servants, affiliates, employees, successors, and assigns (collectively the “Released Parties”) from any and all liability, claims, demands, actions, and causes of action whatsoever, directly or indirectly arising out of or related to any loss, damage, or injury, including death, that may be sustained by me related to participating in any activity associated with HSD event.

INDEMNIFICATION
I agree to indemnify, defend, and hold harmless the Released Parties from and against any and all costs, expenses, damages, claims, lawsuits, judgments, losses, and/or liabilities (including attorney fees) arising either directly or indirectly from or related to any and all claims made by or against any of the Released Parties due to bodily injury, death, loss of use, monetary loss, or any other injury from or related to my attendance at HSD events.

A Message From the Founders

Homeschool Days was an idea that started in January 2020 with a goal to support the homeschool community. At that time we were a homeschooling family of seven, with our children ranging from toddler to highschool freshman. Like many of you, we started our homeschool research when our first child was still in the belly. We’ve since added another little one to our crew, born in 2022, and look forward to many more years of learning alongside our children.

When we began developing HSD, our hope was to accomplish several important goals:

  • Provide a way for homeschoolers to support fellow homeschoolers (including alumni) during every part of their journey.
  • Make finding resources easier.
  • Make finding local groups and programs easier.
  • Make finding homeschool events easier.
  • Make finding volunteer and job opportunities for homeschool students easier.
  • Financially support homeschool programs and students through educational grants.
  • Create ways for homeschoolers to support homeschoolers.

We are also big fans of homeschooling remaining private, with little to no restrictions, in order to allow families the flexibility to instill a love of learning within each child, and to choose methods and paths that best suit each child’s needs. We understand the concerns of many veteran homeschoolers who have fought and continue to fight for pro-homeschool laws and parental freedoms.

Personally, we’ve been blessed with wonderful friendships and mentors who’ve helped us, and continue to help us maintain a healthy and peaceful family rhythm through the seeds of wisdom and knowledge they’ve planted into our lives. There is so much value in gleaning from the experience and guidance of others, so we hope HSD will do for you what our mentors have done for us. We hope you will both give and receive value from the HSD community. And, we hope the best for your homeschool days.
